Our attorneys represent financial institutions, corporate creditors, distressed companies, corporate debtors, and creditor constituency groups, such as secured lender groups, unsecured creditor organizations and unsecured creditors’ committees and bondholder groups. Our bankruptcy practice involves all aspects of corporate debtor, creditor and constituent group representations and cross-b order insolvency issues.

Foreign Direct Investment

We advise our clients on all aspects of selecting and implementing the optimal structures for a foreign direct investment whether through mergers, acquisitions, joint ventures, strategic alliances or the creation of entirely new investments. Once a structure is selected, we help them carry out all aspects necessary to establish an overseas presence. This necessitates working closely with our clients to help evaluate and mitigate all the different types of domestic and international risks. The risks involved in decisions to make an initial investment overseas as well as decisions to restructure existing investments include: political risk, currency risk, expatriation of profits, import and export tariffs, taxes, and national and local regulation of operations.

Government Relations

We conduct research for our clients on legal, regulatory and other business conditions in China. We work closely with our clients to assist them in formulating and implementing national and local government relations strategies. We also assist in identifying sourcing and acquisitions targets, and advise on financing options for China business strategies.

Immigration / Labor and Employment

We provide training, guidance, and counseling regarding the National Labor Relations Act and the Railway Labor Act. We advise employers concerning union avoidance. We advise and represent employers concerning union representational proceedings and elections, unfair labor practice investigations and hearings, contract negotiations, the administration of collective bargaining agreements, and labor arbitration hearings, including interest arbitration. Our labor representation also includes representation in injunctions against unlawful strike activity, picketing, and work jurisdictional disputes and in litigation to enforce collective bargaining agreements. We also offer assistance in obtaining visas and temporary or permanent work permits for necessary personnel and can represent the client and its personnel with the Immigration and Naturalization Service.

International Business Transactions

We have extensive experience in planning, structuring and implementing various international business transactions. We regularly assist with negotiating and drafting various strategic transactions, contractual joint ventures and consortiums, manufacturing and partnering agreements, license agreements, distribution and representation agreements, software development agreements, maintenance and service agreements, e-commerce contracting, confidentiality agreements, employee invention assignment agreements, consulting agreements, and independent contractor agreements. During the course of this assistance we ensure that the optimal structures are analyzed and utilized to avoid adverse tax consequences (including the unnecessary creation of a permanent establishment), exchange controls and currency risks and risks to intellectual property rights.

International Compliance

We counsel our clients about compliance with U.S. laws that regulate international transactions such as the Foreign Corrupt Practices Act (FCPA). We work with U.S. and multinational corporations in meeting their obligations under the FCPA and applicable international anti-corruption conventions, including the OECD Anti-Bribery Convention, the U.N. Convention Against Corruption and the Inter-American Convention Against Corruption. We assist with export control, licensing and compliance involved in the export of U.S. products under the Export Administration Act and Regulations (EAA/EAR), the Arms Export Control Act and Regulations (AECA/ITAR), and the Foreign Assets Control Regulations. We also assist with sanctions programs, boycott and anti-boycott regulations, and the denied and debarred persons lists.

We advise clients in planning tax strategies for their business and individual financial planning. We assist clients on federal, state and local tax issues arising from a broad range of complex transactions involving partnerships and joint ventures, mergers, and acquisitions, dispositions of subsidiaries and divisions, tax-free reorganizations, spin-offs, new market tax credit financings, low-income housing tax credits and real estate transactions including tax-deferred 1031 exchanges.

Trade Law

We advise corporations, industry associations and governments on all global cross-border issues, including export/import licenses, customs, procurement and compliance with international agreements (NAFTA, WTO, GATT). We counsel our clients in regulatory trade matters and investment strategies in China and elsewhere. Our attorneys have litigated before the Canadian International Trade Tribunal, NAFTA and WTO panels. We represent some of the world's largest organizations and counsel clients on free trade negotiations and investment agreements as well as antidumping and countervailing duties, import relief under the escape clause, import infringement of patents, trademarks and copyrights and China safeguard investigations.
